
Shelley J. Rosensweig
Biography
Shelley Rosensweig is a partner in the investment management group at Haynes Boone, where she has spent over 25 years structuring complex investment vehicles and navigating regulatory challenges for investment managers. Her practice spans the full spectrum of alternative investments, advising sponsors on the formation and operation of hedge funds, private equity funds, private credit vehicles, and venture capital funds across US and international markets. She regularly structures sophisticated arrangements including managed accounts, joint ventures, SPVs, co-investment vehicles, secondary transactions, and evergreen funds. Beyond fund structuring and formation, Shelley provides comprehensive regulatory guidance on SEC, FINRA, and CFTC compliance matters, while also counseling clients on operating agreements, capital raising, distribution strategies, employment matters and operational issues throughout their business lifecycle. She maintains a significant family office practice, representing ultra-high-net-worth families in their investments in investment vehicles and separately managed account platforms.
